Important changes to the Isle of Man Companies Act – Effective 1 April 2025.
Starting 1 April 2025, companies operating under the Isle of Man Companies Act 2006 will be subject to new director notification requirements.
Key Updates:
🔸 First director appointments and any subsequent changes must be reported to the Registrar within one month.
🔸 All existing companies must file a complete register of directors by 1 May 2025 if not already submitted.
🔸 A new annual return, which will no longer update director information, will be introduced on 1 May 2025. This update will enable 2006 Act companies to take advantage of the availability of online processes.
What this means for Companies:
🔸 Companies incorporated under the 2006 Act after 1 April 2025 will be required to submit a register of directors within one month of the first directors’ appointment.
🔸 Companies that haven’t elected to file their register of directors must do so by 1 May 2025.
🔸 Changes to director information must be reported using Form IM12, while Form IM13 will be discontinued from 1 April 2025.
These updates will expand the current online filing capabilities, and represent another step in the Isle of Man Government’s broader digitisation and efficiency programme.
